Terms of Sale for PELE Tokens

PELE Network, Ltd., a Wyoming limited liability company, the owner and operator of PELE.network (hereinafter “PELE”), is a cryptocurrency-supported ecosystem that supports the evolution of content creation and allows audiences to interact more richly with creators (collectively, “PELE”), and the PELE Network token is the decentralized currency of PELE. PELE tokens may from time to time be made available to you (“you” or “User”) by, in connection with the website available at http://pele.network. By purchasing PELE Token, through PELE’s services that link to these Terms of Sale, you acknowledge and agree that you have read, understand, and expressly agree to be bound by the Terms of Sale in effect at the time of purchase (“Terms of Sale”). Your purchases of PELE Token and your use of PELE’s services are also governed by PELE’s Terms of Service (“Terms of Service”), which by use of this website, acknowledge and agree that you have read, understand, and expressly agree to be bound by. For the avoidance of doubt, any and all disputes arising from these Terms of Sale, the Purchase of PELE Tokens, and/or the use of those purchases made on PELE shall be governed by the Terms of Service including, but not limited to the sections governing Indemnification, Disclaimers and Warranties, Limitation of Liability, Governing Law, Dispute Resolution, Severability, Governing Law, Jurisdiction and Venue, Assignment and Waiver.

These Terms of Sale are subject to change without prior written notice and in PELE’s sole discretion. If PELE changes these Terms of Sale, we may provide notice by sending an email, posting a notice on PELE, or updating the “Last Updated” date above. Your continued use of  PELE after the “Last Updated Date” will constitute your acceptance of and agreement to such change Please check these Terms of Sale periodically for those changes. Any modified terms will apply to any purchase made after such changes are posted on PELE. You should review these Terms of Sale prior to each purchase as some terms may have changed. If you do not agree to these Terms of Sale, please do not make any purchases on PELE.

PLEASE READ THESE TERMS OF SALE AND THE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

Purchase Qualifications; Account Security

To make a purchase on PELE, you must be a registered PELE user and comply with these Terms of Sale, the Terms of Service, and the Privacy Policy, collectively as may be amended from time to time. Please be aware that you are responsible for maintaining the security of, and restricting access to your account, password and cryptocurrency wallet, and you agree to accept responsibility for all purchases and other activities that occur under your account. If your account or credit cards are stolen, please notify the proper parties to handle the matter. PELE sells its PELE Token only to those users who can legally make purchases with a credit card. If you are between the ages of thirteen (13) and eighteen (18), or the legal age of majority in jurisdiction, you may make purchases only with the permission of a parent or legal guardian. PELE reserves the right to refuse or cancel orders or terminate accounts at any time in its sole discretion with or without warning to the User.

PELE Tokens

The PELE Token is blockchain-based digital unit, issued and distributed by PELE. The PELE token that PELE may offer for purchase is a crypto-based digital license redeemable on PELE, and access to certain features and services not expressly mention in this Terms of Sale. PELE Tokens are required to use the PELE network. Its functionality includes but is not limited to paying for digital media services, networking with other users, exchanging project fungible tokens (PFTs) storing files on our servers to share with other users, and network governance. Services may be added or removed at our discretion, with or without notice to Users.

Your use of PELE Token is subject to PELE’s Terms of Service.

Users have no property, proprietary, intellectual property, ownership, or monetary interest in promotional or purchased PELE Token, which remains subject to the Terms of Service. Except as required by applicable law in your jurisdiction, PELE Token is non-refundable. Tokens that have been used or redeemed will not be returned. Users may purchase and sell, any PELE Token, or offer to purchase orsell, any PELE Token (including for money or any other consideration or items of value whether inside or outside of PELE).

There is a hard capped supply of 420,000,069 PELE tokens, with no inflation. PELE token will be distributed and/or sold by PELE in its sole discretion. PELE does not guarantee that PELE Token will be available at all times or at any given time. PELE does not guarantee that we will continue to offer PELE Token for any particular length of time. We will release information regarding the release of additional PELE Token through email and give proper notice to all users who may wish to purchase more.

Proceeds from PELE token sales will be managed by an account owned and controlled by PELE

There will never be a change or update to the inventory/supply. PELE reserves all rights, title, and interest in PELE Token and inventories, and all associated copyrights, trademarks, and other intellectual property rights therein.

PELE will try to avoid closing user accounts; however, PELE reserves the right to deactivate any User from PELE for any reason or no reason. Once a User has been deactivated, any PELE Token accumulated by that User will be forfeited and may not be reinstated. Refund Policy

When you make a purchase through PELE, you have immediate access to, and use of, the PELE Token you have purchased. Accordingly, except as detailed in these Terms of Sale, to the extent permitted by applicable law, cancellations are not permitted after a purchase, and we do not offer any refunds or credits. PELE reserves the right to modify this refund policy as set forth below at any time. We may offer refunds or compensation, but doing so does not imply that PELE is liable nor at fault for any reason.

Payment Method and Terms

We accept payment through major credit cards, certain debit cards, PayPal, certain cryptocurrencies, and/or such other payment methods we may make available to you from time-to-time through our site (“Payment Methods”). You are subject to all terms and conditions of the Payment Method you choose. By submitting an order through PELE, you represent and warrant that you are authorized to use the designated Payment Method and authorize PELE, or its designated payment processor, to charge the Payment Method you specify for the purchase amount, including all taxes and fees.

PLEASE NOTE: Our payment processing partners may request that you provide certain personal data (e.g., a valid government-issued ID, your legal name, address, and date of birth) for the purpose of making payment through its financial institutions and complying with applicable international, national, federal, state, and local laws and regulations. They may also communicate directly with you regarding any issues with a payment. We will do our best to ensure that your privacy and information is protected through the entire purchasing process.

If a purchase has been declined online due to issues with your Payment Method, we may suspend or cancel your order automatically. You are responsible for resolving any problem we encounter in order to proceed with your purchase. If the transaction is not accepted online, please contact customer support via the email address made available to you in connection with the purchase.

PELE may impose additional transactions fees based on transactions associated with PELE. Such transaction fees will be disclosed to you prior to your consummation of the relevant transaction. Please carefully analyze your pending transaction before confirming, as all orders that are properly processed will be nonrefundable.

Assumption of Risk

Value and Volatility. The prices of blockchain assets may be extremely volatile and subjective and blockchain assets have no inherent or intrinsic value. Fluctuations in the price of other digital assets could materially and adversely affect the value of the PELE oken, which may also be subject to significant price volatility. Each PELE Token has no inherent or intrinsic value. We cannot guarantee that any PELE token purchased will retain their original value or any value at all, as its value is inherently subjective and factors occurring outside of the PELE ecosystem may materially impact the value and desirability of any particular PELE token. The User acknowledges and agrees that the token may lose all its value.

Tax Calculations. You are solely responsible for determining what, if any, taxes apply to your PELE token-related transactions. We are not responsible for determining the taxes that apply to your transactions on PELE, and will not provide such information to Users.

Inherent Risks with Internet Currency. There are risks associated with using an Internet-based currency, including, but not limited to, the risk of hardware, software and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your electronic wallet. You accept and acknowledge that we will not be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when using the Zilliqa Network, however caused.

Regulatory Uncertainty. The regulatory regime governing blockchain technologies, cryptocurrencies and tokens is uncertain, and new regulations or policies, whether on a Federal level or otherwise, may materially adversely affect the development of the PELE ecosystem, and therefore the potential utility or value of your tokens.

Software Risks. Upgrades to the Zilliqa Network, a hard fork in the Zilliqa Network, or a change in how transactions are confirmed on the Zilliqa Network may have unintended, adverse effects on all blockchains using the Zilliqa Network’s smart contract standard, including the PELE ecosystem.

Verification

Similar to some online payment services or e-commerce sites, we may eventually ask you for further identification in the form of an identity check (commonly referred to as Know Your Customer, or KYC) to verify your PELE account. This layer of security is used to help prevent fraud and to protect the community, and to ensure a safe ecosystem for all participants. You may be asked to verify your identity once your account hits a certain threshold of financial activity, and/or your identity must be verified before you are able to request a withdrawal of a balance more than Ten Thousand United States Dollars ($10,000).
